Terms of Use (EULA)

1. Introduction and Acceptance

These Terms of Use and End User License Agreement ("Terms", "EULA", or "Agreement") form a legally binding contract between you and Martim Miguel Pinheiro Benedito (acting as a Sole Proprietor, trading as Reaction Academy®, "we", "us", or "our"). They govern your access to and use of the Reaction Academy progressive web application and website at reactionacademy.app (the "Service").

Age Requirement: You must be at least 13 years old to use the Service. If you are under 18 (or the age of majority in your jurisdiction), you affirm that you have obtained parental or guardian consent to create an account and use the Service.

By creating an account or using the Service, you expressly agree to be bound by these Terms and by our Privacy Policy. Acceptance is required and is recorded at sign-up. If you do not agree, you may not use the Service.

2. Intellectual Property and License

All software, code, design, logos, training methodologies, exercise content, and the Reaction Academy® trademark are the exclusive property of Martim Miguel Pinheiro Benedito. The Reaction Academy® brand is a registered trademark in Portugal (Marca Nacional n.º 717168 (INPI Portugal)).

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Service for your personal or organisational, non-commercial purposes. The Service is licensed, not sold.

You agree NOT to:

• Copy, decompile, reverse engineer, modify, or create derivative works of the Service.
• Rent, lease, lend, sell, redistribute, or sublicense the Service or its content.
• Use the Service unlawfully or in violation of any third-party rights.
• Circumvent, disable, or manipulate the security or access-control features of the Service.
• Use automated systems (bots, scrapers) except as expressly permitted.

3. Accounts

An account is required to use the Service. You agree to provide accurate information, keep your credentials confidential, and remain responsible for all activity under your account. Notify us promptly of any unauthorised use. We may suspend or terminate accounts that violate these Terms.

4. Subscriptions, Billing, and Free Trials

The Service offers a Free plan and paid plans (Pro, Team, Elite), billed monthly or annually through Stripe. Annual billing charges 11 months for 12 months of access (one month free). Current prices are shown on the landing page and at /plans. Manage or cancel anytime from Account → Plans → Manage billing (Stripe customer portal). No refunds for partial billing periods except where required by law.

Free trials. Athlete/Practitioner accounts automatically receive a 7-day free trial at Pro level when they sign up — no payment method required; if they subscribe during the trial, the payment method is collected at checkout but only charged when the trial ends. Coach/Physio accounts have no free access to the Service: they receive a 14-day trial window counted from account creation, activated only when subscribing to Team (payment method required at checkout — card charged when the trial ends, cancellable before then at no cost). Elite has no free trial — the first charge is immediate (monthly or annual). If a trial is not used or no subscription is started, nothing is charged. Trials are limited to one per account and are not stackable, renewable, or transferable.

What happens when a trial ends. Athlete/Practitioner accounts revert automatically to the permanent Free plan (limited exercise library, last 5 sessions in history) unless a Pro subscription is active. Coach/Physio accounts do not have an ongoing Free plan; without an active Team or Elite subscription they can only access their account settings, the plans page and legal documents — the rest of the Service remains locked until a subscription is started.

5. Health, Safety, and Medical Disclaimer

Reaction Academy provides cognitive-motor and physical reaction training that involves physical exertion and movement. The drills and guidance are for informational and educational purposes only and do not constitute medical advice. You assume all risks associated with physical activity and are responsible for a safe training environment. Consult a qualified professional before beginning any training programme. Reaction Academy® is not liable for any injury arising from use of the Service.

6. User-Generated Content

The Service lets you create custom exercises and store training data. You retain ownership of what you create and are solely responsible for it, and you represent that it does not infringe any third-party rights or violate any law. This content is stored locally and, when signed in, may be synced to your account.

7. Availability and Local Data Loss

We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. Some features store data locally on your device. We are not liable for any loss, corruption, or deletion of locally stored data resulting from device failure, clearing your browser storage, or user error.

8. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.

9. Limitation of Liability

In no event shall Reaction Academy® or Martim Miguel Pinheiro Benedito be liable for any personal injury or any indirect, incidental, special, consequential, or punitive damages (including loss of profits or data) arising from your use of or inability to use the Service. To the extent liability cannot be excluded, our total aggregate liability shall not exceed EUR 50 or the amount you paid us (if any) in the preceding twelve (12) months, whichever is greater.

10. Indemnification

You agree to defend, indemnify, and hold harmless Martim Miguel Pinheiro Benedito from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your misuse of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of Portugal, excluding its conflict-of-law rules. Disputes are subject to the exclusive jurisdiction of the courts of the district of Lisbon, Portugal. As a consumer resident in the European Union, you benefit from any mandatory provisions of the law of your country of residence.

12. Changes to These Terms

We may update these Terms from time to time. Substantial changes will be communicated in the app or on the website, and may require renewed acceptance. Continued use after changes take effect constitutes acceptance.
